How do minutes work?
- Open with the date, time, location, attendees, apologies and who chaired the meeting.
- Follow the agenda item by item, recording the decision and the reason rather than the discussion in full.
- List every action with a named owner and a due date, in a block a reader can scan.
- Write in neutral, past-tense language and avoid attributing opinions unless the speaker asked for it to be recorded.
- Circulate within a day or two while memory is fresh, and note corrections at the next meeting.
A worked example
A nonprofit in Vermont with a nine-member board had been relying on whoever remembered to take notes. Decisions were re-litigated at the next meeting because nobody could say what was agreed. An assistant began attending, writing minutes against the agenda, and sending a draft within 24 hours with the action block at the top. The board adopted the practice formally, and its auditor later used the minutes as evidence of how a major spending decision was made.
Where do minutes show up in your tools?
Minutes are usually written in Google Docs, Microsoft Word or Notion from a standing template, sometimes with a Zoom or Microsoft Teams transcript as the raw source. Approved versions belong in a board folder with the date in the file name so the record stays in order.
Common mistakes
- Writing a near-transcript, which nobody reads and which can create a record the organization did not intend.
- Recording decisions without the actions that follow, so the meeting ends in agreement and nothing happens.
- Circulating minutes three weeks later, when corrections are impossible and the actions are already overdue.
