# What is a contractor?

What is a contractor? A contractor, or independent contractor, is a person or company engaged under a commercial contract to deliver work, and is not employed by the business that hires them. Contractors control how the work is done, invoice for it and pay their own taxes. Misclassifying an employee as a contractor is a common compliance failure.

## How does a contractor work?

1. The agreement describes a deliverable or scope, not a job, and sets a fee rather than a wage.
2. The contractor supplies their own tools, sets their own method, and usually serves more than one client.
3. Tax authorities in the US, UK, Canada and Australia test the reality of control, not the wording of the contract.
4. The hiring business issues a 1099 in the US or receives an invoice elsewhere, and withholds nothing.
5. Termination follows the contract's notice clause, with no statutory employment protections attached.

## A worked example

A landscaping company in North Carolina engaged a bookkeeper as a contractor. Over two years she moved to fixed hours the owner set, used a company laptop, reported to the office manager and worked for no one else. A state audit read the arrangement as employment. The company owed back payroll taxes and penalties. The fix was straightforward: either hire her properly or return the relationship to a scoped, invoiced engagement she controlled.

## Where does a contractor show up in your tools?

Contractor relationships live in a statement of work, a W-9 or local equivalent, and an invoice trail in QuickBooks Online or Xero. Watch for the signals that undercut the classification: a seat in your HR system, a company email signature or a place on the staff schedule.

## Common mistakes

- Writing a contractor agreement and then managing the person as an employee on hours, tools and supervision.
- Using contractor status to avoid benefits for a role that is clearly ongoing and directed by you.
- Assuming a foreign contractor removes the risk, when many countries test the same control factors.

## Why does a contractor matter?

Classification is decided by how the relationship actually works, and the cost of getting it wrong falls on the hiring business as back taxes, penalties and sometimes benefits. For a small business, that is a real balance-sheet risk sitting behind a convenient label. Buying an outsourced service from a provider that employs its own people removes the question entirely. This is a plain-language summary, not legal advice.
